Coach Agreement

Registration constitutes acceptance of these Terms.
About This Agreement
Molt gives coaches a single platform to manage clients, track progress, coordinate nutrition, and earn through meal plan commissions and referrals.
These Terms govern use of the Molt Coach App and Platform.
1. Definitions
Key terms used in this agreement.

| Affiliate Earnings | Commissions earned by a Coach from meal plan purchases made by their Clients. |
| Molt Credits | Referral currency earned through the Molt referral programme. |
| Pro Membership | Any paid or promotional subscription tier granting Coaches enhanced Platform features. |
2. Eligibility & Registration
Who can register as a Molt Coach.
2.1 Professional Qualification & Verification
Registration requires holding relevant qualifications as a personal trainer, fitness coach, or wellness professional. Where required by law or by the gym or facility operated from, appropriate certifications and licences to provide coaching services in the UAE must be maintained.
Each Coach will be required to attend a verification call with the molt onboarding team. Upon successful the coach shall receive the approval to proceed with usage of the molt coach app using their credentials.
2.2 Account Accuracy
Registration requires accurate and complete information, including name, contact details, and bank account details for earnings payouts. Keeping this information updated is the Coach’s responsibility.
2.3 One Account Per Coach
One account per Coach on the Platform. Duplicate accounts created to manipulate the referral programme or any other scheme are prohibited.
2.4 Team Leads & Gym Managers
Team Leads and Gym Managers may create and manage sub-accounts for coaches within their team. Responsibility for ensuring all team members comply with these Terms rests with the Team Lead or Gym Manager.
All accounts created must go through the same verification process.
3. Platform Access & Subscription
How and when you pay for the Molt Coach Platform.
3.1 Free Access Period
Coaches receive free access to the Platform for the first few months from the date of registration (subject to change). This includes features such as client management, dashboard access, session tracking, and affiliate earnings. Molt reserves the right to modify the Free Access Period with reasonable advance notice.
3.2 Membership
After the Free Access Period, continued access to the full suite of Coach features may require a paid Membership. Pricing and features will be communicated in advance. There is no obligation to upgrade, though access to certain features may be restricted on free tiers.
3.3 Promotional Memberships
Molt may offer select coaches a “Pro for Life” or other promotional membership as part of early-adopter or ambassador programmes. Terms of any such offer are communicated separately in writing. Promotional memberships may be revoked in the event of a serious breach of these Terms.
4. Coach App Features & Responsibilities
What you can do through the Coach App, and your obligations.
4.1 Client Management
Clients may be added individually, from contacts, or via bulk upload using the provided excel template. Obtaining appropriate consent from Clients before adding them to the Platform and before accessing their health and activity data is the Coach’s responsibility.
4.2 Client Data Access
When a Client links with you, they grant access to their agreed health data: activity logs, nutrition logs, step counts, body weight, and progress history. This data must be used solely for coaching the relevant Client. It must not be shared, sold, or misused.
4.3 Plan Management
Clients’ fitness plans — including daily activity and nutrition targets — are viewable and editable through the Coach App. Changes sync directly to the Client’s Molt app. Responsibility for ensuring plans are safe, appropriate, and within professional competence rests with the Coach.
4.4 Session Tracking
Coaching sessions and client attendance are logged via QR code scan. Accurate session records are the Coach’s responsibility. Molt provides this as an administrative tool and does not verify the occurrence or content of sessions.
Molt bears no liability for any injury, accident, health incident, or adverse outcome arising from in-person coaching activities, sessions, or physical training conducted by the Coach. All liability for the safety and conduct of physical coaching activities rests solely with the Coach.
4.5 Nudges & Communication
Nudges and notifications may be sent to Clients through the Platform. All communication must be professional, respectful, and in the best interests of the Client. The nudge feature must not be used for spam, solicitation of services outside Molt, or harassing communications.
4.6 Macro Suggestions
Custom macro adjustments may be suggested for Clients’ meal plans by the coach within the Platform. Responsibility for ensuring adjustments are appropriate for the Client and within professional scope of practice rests with the Coach.
4.7 Client Unlinking
A Coach-Client link may be terminated by either party at any time. Unlinking initiated by the Coach requires confirmation approval from the Client within the Client’s Molt app before the link is dissolved. Upon unlinking, the Coach’s access to the Client’s health data is immediately and permanently revoked. The Client’s data remains accessible to the Client and is not affected by the unlinking.
Molt is not liable for any disruption to a Client’s fitness or nutrition plan resulting from a Coach-initiated unlink.
5. Affiliate Earnings & Referral Programme
How you earn commissions and referral rewards through Molt.
5.1 Meal Plan Commissions
A commission is earned on every Molt Meal Plan purchase made by linked Clients. The applicable commission rate is displayed in the Coach dashboard and is subject to change with 30 days’ notice. Commissions are calculated on the net meal plan value, excluding delivery fees and taxes.
Commissions are applied at the point of confirmed purchase and are not reversed on the basis of subsequent Client cancellation, plan modification, or non-renewal. Where a Client cancels a meal plan after purchase, the commission earned on that purchase remains credited to the Coach’s account
5.2 Referral Rewards
Molt Credits equivalent to rewards as specified in any communication is earned for each new Coach or User successfully referred to the Platform using a unique referral code, subject to the referred person creating an active account. Referral rewards are subject to verification and change and may be withheld in cases of suspected fraud.
5.3 Payout & Coach Tier Encashment
Earnings accumulated as Molt Credits are processed for payout on a monthly basis, on the last working day of each calendar month, to the registered bank account. Earnings statements are available within the Coach App. Applicable taxes on earnings received are the Coach’s responsibility.
The proportion of total earned Molt Credits eligible for cash encashment each month is determined by the Coach’s assigned tier:

| Platinum | 80% of total earned Credits encashable per cycle | Highest tier. Assigned to top-performing Coaches meeting Molt’s Platinum criteria. Maximum encashment rate applies. |
Tier thresholds, criteria, and the Silver encashment rate are communicated within the Coach App and are subject to periodic review. Credits not encashed in a given cycle carry forward to the next cycle and do not expire, subject to Section 5.4.
The remaining non-encashable Credits balance is redeemable against Platform features, services, or as otherwise specified in the app.
5.4 Fraud & Manipulation
Any attempt to manipulate the affiliate or referral programme — including generating fake client accounts, self-referrals, or coordinated schemes — results in forfeiture of all pending and future earnings and immediate account termination. Legal action may follow where appropriate.
5.5 No Employment Relationship
Participation in the affiliate programme does not create an employment, agency, or partnership relationship between the Coach and Molt. Coaches are independent professionals using the Platform. Molt does not direct or control how coaching services are delivered.
Each Coach is solely responsible for the coaching advice, fitness plans, nutrition guidance, and services provided to Clients. Molt does not supervise, endorse, or accept responsibility for the quality, accuracy, safety, or appropriateness of coaching. Professional liability rests with the Coach, who should maintain appropriate professional indemnity insurance. Molt will not be held liable for any claim arising from a Client in connection with coaching services provided.
6. Professional Conduct & Standards
Standards required of all Coaches on the Platform.
Coaches are required to:

Provide coaching services professionally, ethically, and within scope of competence.

Respect Client confidentiality and not disclose Client data to any third party without their consent.

Not provide medical diagnoses, prescribe medications, or offer advice that exceeds professional qualifications.

Communicate with Clients honestly and in their best interests.

Not solicit Clients to move to a competing platform or pay outside Molt’s agreed structures.

Not use the Platform to engage in any misleading, deceptive, or dishonest conduct.

Report any Platform bugs, security issues, or suspected misuse to support@molt.app promptly.
Molt reserves the right to remove Coaches who receive persistent negative reviews, complaints, or who otherwise do not meet professional standards.
Client Ratings & Reviews
- Linked Clients may submit a performance review for their Coach on a weekly or monthly basis through the Molt app.
- Review submissions are voluntary and accessible to the Coach through the Coach App dashboard.
- Molt monitors aggregate review scores across all Coaches. Where a Coach’s rating falls below an acceptable threshold, Molt will first notify the Coach and provide a defined period to address performance concerns.
- Where performance does not improve within that period, Molt reserves the right to restrict, suspend, or remove the Coach’s account.
7. Brand Ambassador Programme
For Coaches invited to the Molt Ambassador or Founder Coach programme.
Select Coaches may be invited to participate in Molt’s Founder Coach or Brand Ambassador programme. Separate terms apply alongside these Terms, including obligations around content creation, platform feedback, and promotion.
Participation is voluntary. Molt may provide additional benefits — including extended free access, merchandise, or enhanced commission rates — in exchange for agreed contributions. These benefits may be withdrawn if agreed obligations are not met or these Terms are breached.
8. Data Protection & Confidentiality
Obligations around Client data and Molt’s data practices.
By using the Coach App, sensitive personal and health data belonging to Clients is accessible. By accepting these Terms, each Coach agrees to:

Access only data relevant to the coaching relationship with each Client.

Store, process, and handle Client data in compliance with applicable UAE data protection laws.

Not share, copy, export, or use Client data for any purpose other than coaching that Client through Molt.

Notify Molt immediately at support@molt.app if any unauthorised access to Client data is detected.
Molt’s collection, storage, and use of Coach personal data is governed by the Privacy Policy (molt.app/privacy-policy).
9. Intellectual Property
The Molt Coach App, its features, algorithms, design, and content are owned by Molt Technologies L.L.C-FZ. A limited, non-exclusive, non-transferable licence is granted to use the Coach App for the purpose of coaching Clients through the Platform.
Reproducing, reselling, or creating derivative products based on any part of the Molt Platform requires prior written permission from Molt.
10. Limitation of Liability
Molt provides the Coach App as a tool to support coaching operations. Molt is not responsible for:

The accuracy or appropriateness of plans and advice provided to Clients.

Any health outcomes experienced by clients under coaching.

Any disputes between Coach and Clients.

Loss of earnings due to platform downtime, changes to commission structures, or changes to the referral programme.
Molt’s total liability for any claim shall not exceed the total commissions and fees paid by Molt to the Coach in the three (3) months preceding the claim.
11. Termination & Suspension
11.1 By Coach
Coach accounts are deactivated at any time by contacting support@molt.app. Upon deactivation, access to the Platform and Client data ceases. Pending earnings up to the date of deactivation are processed in the next payout cycle.
11.2 By Molt
Molt may suspend or terminate a Coach account where there is a breach of these Terms, professional misconduct, significant negative reviews, or reasonable grounds to believe the account is being used fraudulently.
11.3 Effect on Clients
If a Coach account is terminated, linked Clients are notified and their data remains accessible to them. Molt takes reasonable steps to minimise disruption to affected Clients.
12. Changes to These Terms
These Terms are updated periodically to reflect changes to the Platform or applicable law. Material changes are communicated via email or in-app notification at least 14 days before taking effect. Continued use of the Coach App after the effective date constitutes acceptance of the updated Terms.
13. Governing Law & Disputes
These Terms are governed by the laws of the United Arab Emirates. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.
Disputes may be submitted to coaches@molt.app for informal resolution before formal proceedings are initiated.
